LIMITED LIABILITY COMPANY OPERATING AGREEMENT

Effective Date: January 12, 2026

1. Formation

1.1 Name: The name of the limited liability company (the "LLC") is Get Good Services LLC, doing business under the DBAs Get Good Movers and Get Good Painters.

1.2 Formation: This LLC was formed pursuant to the California Revised Uniform Limited Liability Company Act (California Corporations Code Sections 17701.01 et seq.) by filing Articles of Organization with the California Secretary of State.

1.3 Principal Office: The principal office of the LLC is located at:

1.4 Registered Agent: The registered agent for service of process is:

1.5 Term: The LLC shall continue until dissolved according to this Agreement or by operation of law.

2. Purpose

The LLC is organized to engage in any lawful business activity permitted under California law, specifically:

  • Moving services under the DBA Get Good Movers

  • Painting services under the DBA Get Good Painters

  • Any other lawful business activities as determined by the Member(s)

3. Member

3.1 Sole Member: The LLC has one member:

3.2 Additional Members: Additional members may be admitted upon unanimous written consent of existing members.

3.3 Ownership Percentages: As a single-member LLC, Matt Henry owns 100% of the LLC. If additional members are added, ownership percentages will be documented in an amendment.

4. Capital Contributions

4.1 Initial Contribution: The Member has contributed the following initial capital to the LLC:

4.2 Additional Contributions: No member shall be required to make additional contributions. Any additional contributions must be agreed to in writing.

5. Profits, Losses, and Distributions

5.1 Allocation of Profits and Losses: Profits and losses of the LLC shall be allocated to the Member(s) in proportion to their ownership percentages.

5.2 Distributions: Distributions of cash or other assets shall be made at the discretion of the Member(s). As a single-member LLC, all distributions go to Matt Henry unless amended to include additional members.

6. Management

6.1 Management: The LLC is member-managed. Matt Henry shall have full authority to manage and control the business, make all decisions, and bind the LLC in contracts.

6.2 Powers of the Member: The Member may:

  • Enter into contracts, leases, or agreements

  • Hire employees, subcontractors, or independent contractors

  • Open and maintain bank accounts

  • Acquire, sell, or dispose of LLC property

  • Take any other actions necessary for the operation of the LLC

7. Liability and Indemnification

7.1 Limited Liability: The Member is not personally liable for debts, obligations, or liabilities of the LLC, except as required by law.

7.2 Indemnification: The LLC shall indemnify the Member against any claims or expenses incurred in connection with the LLC’s operations, to the extent permitted by California law.

8. Books, Records, and Accounting

8.1 Records: The LLC shall maintain complete and accurate books and records at its principal office.

8.2 Accounting: The LLC shall use the [Insert Accounting Method: Cash or Accrual] method for accounting and tax purposes.

8.3 Fiscal Year: The LLC’s fiscal year ends on December 31.

9. Tax Treatment

9.2 Tax Responsibilities: The Member shall be responsible for all taxes arising from LLC operations and shall comply with all federal, state, and local tax requirements.

10. DBAs and Business Lines

10.1 DBAs: The LLC operates under the following “Doing Business As” names:

  • Get Good Movers. – for moving and relocation services

  • Get Good Painters – for professional interior and exterior painting services

10.2 Revenue and Liability Tracking: All revenues and liabilities for each DBA shall be tracked separately in the LLC’s accounting records to maintain clarity for taxes, contracts, and business operations.

10.3 Contracts and Agreements: The LLC may enter into contracts under either DBA. All obligations are ultimately those of AKRO Holdings LLC.

11. Transfers of Membership Interests

11.1 Restrictions on Transfer: No Member may transfer their interest in the LLC without the written consent of all other Members.

11.2 Admission of New Members: New Members may be admitted only with the unanimous written consent of existing Members.

12. Dissolution

12.1 Events of Dissolution: The LLC shall dissolve upon:

  • The decision of the Member(s)

  • Entry of a decree of judicial dissolution

  • Any other event that makes continuation unlawful

12.2 Winding Up: Upon dissolution, the LLC’s assets shall be liquidated and distributed in the following order:

  1. Payment of debts and liabilities

  2. Return of capital contributions

  3. Distribution of remaining assets to Member(s) in proportion to ownership percentages

13. Amendments

This Agreement may be amended only by a written agreement signed by all Members.

14. Miscellaneous

14.1 Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the State of California.

14.2 Severability: If any provision of this Agreement is held invalid, the remaining provisions shall remain in full force.

14.3 Entire Agreement: This document constitutes the entire agreement among the Members regarding the LLC.
